Mastermind Agreement

By booking one or more spots at this mastermind, you accept the following terms on behalf of yourself and all those named in the booking. You have permission from those named in the booking to agree to these terms on their behalf and you have shown them this Agreement.

This Mastermind Agreement is made between Cindy Wagman Consulting (hereinafter "Host") and you (hereinafter "Attendee"). Collectively, Host and Attendee will be referred to as the "Parties." The Parties agree to the following terms and conditions
Conditions
This Agreement is effective upon (1) registration of the Attendee, (2) payment of the Registration Fee, and (3) confirmation of registration by Host. Upon completion of these conditions, this Agreement shall take effect.
Mastermind Information
Confessions Mastermind is a 1 day peer mastermind
The Mastermind will take place on May 21, 2025
The location of the Mastermind will be in downtown Toronto
The events and activities listed on the linked page are not guaranteed, and adjustments may be made to scheduled activities based on speaker availability
Scope of Services
In consideration of Attendee's payment and the mutual promises made herein, Host agrees to provide the following services (hereinafter the "Services"):
Admission to all Mastermind events and activities
Lunch and snacks
Registration Fee
Attendee agrees to pay Host $1,500 CAD plus applicable taxes per person (hereinafter “Registration Fee”) for the Services considered in this Agreement.

Payment is due immediately upon registration.
Method of Payment
Host will provide an online payment link to Attendee. Attendee agrees to make payment by debit or credit card using the linked checkout page.
Refund in Event of Mastermind Cancellation
If the Mastermind is cancelled for any reason, Attendee will receive a full refund, not including third party payment processing fees.
Cancellation & No Show Policy
Attendee may cancel their registration up to thirty (60) days before the Mastermind and receive a 50% refund, not including third payment processing fees.

Attendee understands and agrees that no refunds will be provided for any registrations cancelled within twenty-nine (59) days of the Mastermind.

The Registration Fee is not transferable to subsequent masterminds, events, or offers.

Attendee understands that space is reserved for their attendance upon booking. If Attendee does not arrive at the Mastermind at the scheduled time, Host cannot recoup lost income by booking another attendee. Therefore, in the event Attendee does not show at the Mastermind, Attendee agrees that Host will keep Attendee's payment of the Registration Fee and that no refund will be provided.
Attendee Conduct
Attendee agrees to comply with the policies of the Venue, specifically incorporated by reference here.

Host, Host's staff, and Mastermind attendees maintain the right to a safe and harassment-free mastermind environment. Harassment shall include, but not be limited to the following behaviors: overuse of foul or graphic language; sexual advancement or insinuation; non-consensual physical touch, physical force or violence; yelling; repeated phone calls, texts or emails that supersede reasonable levels of communication; bullying; name calling; general lack of cooperation, not following processes and belittling of the duties Host or Host's staff are contracted to perform.

Attendee understands and agrees that engaging in any harassment or disruption of the Mastermind events or activities will result in immediate removal from the Mastermind, without refund of payment.
Dietary Restrictions, Allergies, Medical Needs
Attendee agrees to notify Host of all dietary restrictions and allergies at time of registration. Attendee understands and agrees that except in instances of negligence or willful misconduct, Host and Host staff are not responsible for exposures to allergens or restricted food or drink.

Attendee agrees to notify Host of accessibility requirements at time of registration.


Personal Property
Host is not responsible to secure or insure Attendee's personal property at any time.
Privacy
Attendee agrees to respect the privacy of persons in attendance at the Mastermind. Attendee agrees to refrain from posting or publishing any media which identifies a person at the Mastermind without that person's consent. Host has the right to remove Attendees in violation of this provision, without refund.
Intellectual Property
The Mastermind includes programs and materials owned or licensed by Host. No programs or materials may be redistributed, copied, or used to create a derivative work without Host's written consent.
Warranties and Representations
The Parties warrant and represent that they are free to enter into this Agreement and have the authority to do so.

No other warranties are made, whether express or implied. All information provided at the Mastermind is for educational and entertainment purposes only and is provided on an "as is" and "as available" basis. Host disclaims all warranties of any kind as to the use of information provided at the Mastermind, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and noninfringement.

Host specifically disclaims any warranty that the Mastermind or Services (1) will meet Attendee's needs or goals, (2) will be free of errors, reliable, or timely, or (3) that errors will be corrected. Attendee understands the importance of consulting third party legal and financial professionals and promises not to act or refrain from acting based solely on information gathered at the Mastermind or via the Services.
Limit of Liability
Liability shall be limited to the Registration Fee. Except as prohibited by law, Host shall not be liable to Attendee or to any other person or entity for any general, punitive, special, indirect, consequential or incidental damages, or lost profits, or any other damages, costs or losses arising out of the Host’s services, materials, or products, including attorney’s fees and related expenses of litigation and arbitration. Except as prohibited by law, to the extent there is liability found as to the Host, such recovery is limited to the amount the Attendee paid for materials, products, or services.
Indemnification and Release
To the extent permitted by law, each party hereby agrees to protect, indemnify, defend, and hold harmless the other and their respective managers, officers, members, partners, affiliates, owners, shareholders, beneficiaries, and their respective employees, agents, and contractors (collectively, "Representatives") against all claim/losses, liabilities, damages, expenses, and costs arising out of or connected with the negligence or intentional misconduct of such party or its Representatives. Further, Attendee on behalf of itself and its owners, affiliates, partners, subsidiaries, employees, agents, contractors, and consultants (collectively "Releasor"), waives any rights to recover from, and hereby forever agrees to release and hold harmless, Host and their respective owners, parent companies, affiliates, partners and subsidiaries, directors, officers, members, participants, employees, consultants, agents, legal representatives and assigns from any and all claims, costs, personal injuries, deaths, expenses, damages, actions and liabilities, of any nature, whether direct or indirect, known or unknown, foreseen or unforeseen (collectively "Claims").
Force Majeure
Neither party shall be held liable or responsible to the other party nor be deemed to have defaulted under or breached this Agreement for failure or delay in fulfilling or performing any obligation under this Agreement when such failure or delay is caused by or results from causes beyond the reasonable control of the affected party, including but not limited to fire, floods, embargoes, war, acts of war, insurrections, riots, strikes, lockouts or other labor disturbances, or acts of God; provided, however, that the party so affected shall use reasonable commercial efforts to avoid or remove such causes of nonperformance, and shall continue performance hereunder with reasonable dispatch whenever such causes are removed. Either party shall provide the other party with prompt written notice of any delay or failure to perform that occurs by reason of force majeure.
Waiver
No waiver of any default by any party or parties to this Agreement shall be implied from any omission by a party or parties to any action on account of such default. If such default persists or is repeated, no express waiver shall affect any default other than the default specified in the express waiver, and that only for the time and to the extent therein stated.
Article Headings
All article, paragraph, and section headings set forth in the Agreement are intended for convenience only and shall not control or affect the meaning, construction, or effect of this Agreement or any of the provisions thereof.
Severability
If any provision of this Agreement shall be declared invalid or unenforceable, such provision shall be deemed eliminated from this Agreement, and all remaining provisions shall continue in full force and effect.
Modification by Subsequent Agreement
This Agreement may be modified by subsequent agreement of the parties only by an instrument in writing signed by both of them.
Mediation
Host and Attendee agree to try to settle all disputes between them through private mediation before initiating any arbitration, litigation, or other dispute resolution procedure. The mediation session will occur at a time mutually agreed upon by the parties in consultation with a mutually selected mediator, though no later than thirty days after the date of services of the initial notice, unless otherwise agreed by the parties and mediator. Each party shall bear its own fees and costs for the mediation. The parties agree to mediate in Toronto, Ontario.
Governing Law
This Agreement shall be governed by and interpreted under the laws of the province of Ontario.
Venue
The Parties agree that any dispute that may arise as related to this Agreement shall be brought in a court within Toronto, Ontario.
Sole and Only Agreement
This Agreement contains the entire understanding between the parties with respect to the subject matter and supersedes any and all other prior written contracts and understandings (whether oral or written) between the parties. No amendment or modification of this Agreement shall be effective unless executed in writing by both parties.
Assignment; Successors and Assigns
Attendee agrees that Attendee will not assign, sell, transfer, delegate, or otherwise dispose of, whether voluntarily or involuntarily, or by operation of law, any rights or obligations under this Agreement. Any such purported assignment, transfer, or delegation shall be null and void. Attendee represents that Attendee has not previously assigned or transferred any claims or rights released by him pursuant to this Agreement. Subject to the foregoing, this Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective heirs, successors, attorneys, and permitted assigns. This Agreement shall not benefit any other person or entity except as specifically enumerated in this Agreement.
